End User License Agreement

1. Parties and Scope

This End User License Agreement (“Agreement”) is between Dark Horse IT Security (“Company,” “we,” or “us”) and authorized employees or contractors of Dark Horse IT Security (“User” or “you”) who access the Company’s internal RMM integration application (“Application”).

This Application is an internal tool only. It is not a commercial product, is not distributed to the public, and is not licensed for use outside of Dark Horse IT Security’s authorized personnel.

2. Grant of License

Subject to the terms of this Agreement, the Company grants you a non-exclusive, non-transferable, revocable license to access and use the Application solely for internal business operations of Dark Horse IT Security. This license is limited to your role as an authorized employee or contractor.

3. Restrictions

You may not:

• Share access credentials with unauthorized individuals
• Copy, redistribute, sublicense, or resell the Application or any portion thereof
• Reverse engineer, decompile, or disassemble the Application
• Use the Application for any purpose outside of authorized Dark Horse IT Security operations
• Attempt to access systems, data, or accounts beyond your authorized scope
• Transmit the Application or its underlying data to external parties

4. Ownership

The Application and all intellectual property rights therein are and remain the sole and exclusive property of Dark Horse IT Security. This Agreement does not transfer any ownership interest to you. All rights not expressly granted are reserved by the Company.

5. No Warranty

THE APPLICATION IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. DARK HORSE IT SECURITY MAKES NO WARRANTIES REGARDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APPLICATION WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF SECURITY VULNERABILITIES.

Use of the Application is at your own risk. The Company is not liable to any third party for any claims arising from your use of the Application.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DARK HORSE IT SECURITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE APPLICATION, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Third-Party Services

The Application integrates with NinjaOne (NinjaRMM) via its official API. Use of NinjaOne’s services is subject to NinjaOne’s own terms of service. Dark Horse IT Security is not responsible for the availability, accuracy, or terms of any third-party service integrated with this Application.

8. Termination

This license is effective until terminated. Your access will terminate automatically upon separation from the Company or upon written notice from management. Upon termination, you must cease all use of the Application. The Company reserves the right to revoke access at any time without notice.

9. Governing Law

This Agreement is governed by the laws of the State of North Dakota, without regard to its conflict of law provisions.
